TERMS OF SERVICE

Look, we've gone a bit big on this document for where we are right now. T/X/Y/and/Z is currently one person, me, building a tool I think genuinely matters. This document covers scenarios we haven't reached yet. It's written that way on purpose: you deserve to know the rules before you sign up, not after something goes wrong.
A few things that matter most, before you read the detail.
Your data is yours. The checkpoint records you create, the product journeys you build, the compliance documentation you generate: that's yours. We store it. We protect it. We never sell it or use it to train machine learning models.
The same terms apply to everyone. No special arrangements for large buyers. No enterprise carve-outs. If that changes, this document will say so.
We're straightforward when things go wrong. If we make a mistake that affects you, we'll tell you specifically what happened and what we've done about it.

1. OUR SERVICES
T/X/Y/and/Z provides GPS-anchored supply chain checkpoint scanning, product journey tracking, and compliance documentation tools.
The service is available at txyandz.com and via the T/X/Y/and/Z app. These terms apply to both.
The service is built for business use by adults. If you're accessing it from outside Australia, you're responsible for complying with your local laws.
2. OUR INTELLECTUAL PROPERTY
We own the T/X/Y/and/Z service. The code, the design, the trademarks, and everything else in it. That ownership is protected by copyright, trademark, and other intellectual property law.
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for your own business purposes. That's the extent of it.
You can't copy, reproduce, republish, redistribute, sell, or build on the service's code or content without our written permission. Any breach of this ends your right to use the service immediately.
If you want to do something with our content that isn't covered by your account licence, use our contact form.
3. WHAT YOU AGREE TO WHEN YOU USE THE SERVICE
By using T/X/Y/and/Z, you confirm that:
- You have the legal capacity to enter into a binding agreement
- You are at least 18 years old
- You won't access the service using automated tools, bots, or scripts
- You won't use the service for any illegal or unauthorised purpose
- Your use of the service won't violate any applicable law
If any information you provide is false, inaccurate, or incomplete, we have the right to suspend or terminate your account.
4. WHAT YOU CAN'T DO
The service exists to make supply chains more honest. Using it to do the opposite breaks these terms.
You agree not to:
- Scrape or systematically extract data from the service to build a competing product or database
- Defraud, mislead, or deceive other users or us
- Tamper with or circumvent any security features of the service
- Upload viruses, malware, or any code that could damage or disrupt the service
- Use the service to harass, threaten, or harm anyone
- Impersonate another user or create an account under false pretences
- Use automated tools to extract content from the service
- Attempt to reverse engineer, decompile, or disassemble any part of the service's software
- Remove or hide any copyright or proprietary notices
- Use the service to build a product that competes with T/X/Y/and/Z
- Collect other users' information without their consent
- Submit false abuse reports or misuse our support channels
5. THE DATA YOU SUBMIT
Your supply chain data, checkpoint records, product journeys, photos, and notes belong to you. We don't claim ownership of it.
By submitting it, you grant us a licence to store, process, and display it for the purpose of running the service. That's the only reason we use it. We don't use your supply chain data or checkpoint records to train machine learning models. Ours or anyone else's.
You're responsible for what you submit. If you submit fraudulent checkpoint data, fabricated GPS coordinates, false timestamps, invented provenance, you're using the service to deceive the people downstream who rely on it. That's a breach of these terms and potentially a breach of law. The integrity of every record on the platform depends on every user submitting accurate data.
When you send us feedback, suggestions, or ideas about the service, we can use that feedback to improve the product without compensation to you.
6. YOUR LICENCE TO USE THE SERVICE
Subject to these terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the service for your internal business purposes.
This licence doesn't include the right to:
- Sublicense or resell access to the service
- Use the service on behalf of a third party without their knowledge
- Build a competing product using T/X/Y/and/Z's infrastructure, data, or design
7. HOW WE MANAGE THE SERVICE
We reserve the right to:
- Monitor the service for violations of these terms
- Take action against anyone who violates these terms, up to and including suspending or terminating their account and, where appropriate, reporting them to relevant authorities
- Remove or disable any content that breaches these terms
- Manage the service in ways necessary to protect its integrity and the people who rely on it
We won't exercise these rights arbitrarily. We will exercise them when something is genuinely wrong.
8. ACCOUNTS AND TERMINATION
These terms apply for as long as you use the service.
We can suspend or terminate your account with or without notice if you breach these terms, if you're using the service fraudulently, or if we're legally required to.
If your account is terminated for a breach, don't create a new account under a different name.
If you think we've terminated your account in error, use our contact form.
You can close your account at any time. See Section 16 for what happens to your data when you do.
9. CHANGES AND DOWNTIME
T/X/Y/and/Z changes as we build it. Features are added, updated, and occasionally removed. We reserve the right to modify the service at any time.
The service won't be available at all times. Maintenance, infrastructure issues, and things outside our control can cause downtime. We'll communicate planned maintenance in advance where we can.
We're not liable for losses caused by downtime, interruptions, or service changes. If you need guaranteed uptime commitments for your business, contact us to discuss what's possible.
10. GOVERNING LAW
These terms are governed by the laws of New South Wales, Australia. Any dispute is subject to the exclusive jurisdiction of the courts of New South Wales.
11. DISPUTES
Step one: talk to us. Use our contact form first. Most things can be sorted without escalating.
Step two: negotiation. If direct contact doesn't resolve it, both parties agree to attempt informal negotiation for at least 30 days before starting any formal process.
Step three: arbitration. If negotiation fails, disputes go to binding arbitration. Arbitration is individual. There are no class actions.
Exceptions. Arbitration doesn't apply to disputes involving intellectual property rights or applications for injunctive relief. Those go to court.
12. CORRECTIONS
If there are errors or outdated information in the service or on the website, we'll fix them. We don't guarantee everything is always current. We'll correct mistakes when we find them or when they're flagged.
13. DISCLAIMER
The service is provided as-is and as-available.
We don't warrant that it will be uninterrupted or error-free, or that checkpoint data will never be lost. We disclaim all implied warranties to the extent permitted by law.
Supply chain compliance is complex. T/X/Y/and/Z gives you tools to document and evidence your supply chain. It doesn't give you legal advice, and using it doesn't guarantee compliance with any specific regulation. The EU Deforestation Regulation requires GPS-confirmed proof before 30 December 2026. Australia's Modern Slavery Act has its own reporting requirements. CSDDD has its own. If you need legal advice on compliance, get a lawyer.
We're not responsible for third-party content, third-party services linked from the platform, or anything posted by other users.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law, T/X/Y/and/Z and its directors, employees, and contractors are not liable for any indirect, consequential, incidental, or punitive damages. This includes lost profits, lost revenue, or loss of data arising from your use of the service.
Our total liability to you for any claim is limited to the amount you've paid us in the 12 months before the claim arose, or AU$50, whichever is greater.
Some jurisdictions don't allow these limitations. If that applies to you, some or all of the above may not apply and you may have additional rights under local law.
Note: this liability cap will be reviewed when paid plans launch. A lawyer should confirm the appropriate figure before it goes live.
15. INDEMNIFICATION
You agree to defend and hold harmless T/X/Y/and/Z, its directors, employees, and contractors against any claims, losses, or expenses, including reasonable legal costs, arising from:
- Your use of the service
- Your breach of these terms
- Your violation of another person's rights
- Fraudulent or inaccurate data you submit through the service
We'll notify you if we become aware of a claim that triggers this, and we'll cooperate with your defence.
16. YOUR DATA
We back up the data you submit to T/X/Y/and/Z. You're responsible for maintaining your own copies of records that matter to your business.
We're not liable for data loss caused by circumstances outside our control, including infrastructure failures at our cloud providers.
When you close your account, we delete or anonymise your personal information. The exception is where we're legally required to retain specific records, or where another party in your supply chain has a legitimate ongoing need to access checkpoint records you submitted as part of their compliance audit trail. 17. ELECTRONIC COMMUNICATIONS
By using the service, you consent to receiving communications from us electronically, via email and via the app. These electronic communications satisfy any legal requirement for written notice.
18. GENERAL
These terms are the entire agreement between you and T/X/Y/and/Z regarding your use of the service.
If we don't enforce a provision at any point, that's not a waiver of our right to enforce it later.
If any provision is found to be unenforceable, the rest of the terms stay in effect.
There's no joint venture, partnership, or employment relationship between you and T/X/Y/and/Z as a result of using the service.
